Corporate Counsel - Commercial Contracts

Position Description

The Legal Department of SunSource is responsible for the oversight and handling of all legal matters for the company, as well as managing ESG, compliance, risk and real estate. In an ongoing effort to drive revenue growth and profitability, reduce costs, increase internal knowledge and legal expertise, and add value beyond merely giving legal advice, the Contracts Counsel will be given primary responsibility for the review, drafting and negotiation of a wide variety of legal documents and agreements, as well as ensuring continuing compliance with those agreements. The Contracts Counsel reports directly to the Vice President, General Counsel & Secretary of SunSource and is based in Addison, Illinois. The Contracts Counsel will also work closely with SunSource’s senior leadership team and other company associates. Given the fast pace and continued growth of the business, the Contracts Counsel must be efficient and capable of handling a high volume of contracts.

Principal Duties

  • The principal duties of the Contracts Counsel position will include, but not be limited to, the following:
  • Drafting and negotiating contracts and ancillary agreements, including customer contracts, supplier and vendor agreements, commercial real property leases, IT and software agreements, government bid documents, confidentiality and non-disclosure agreements, financing agreements, and various other documents;
  • Providing legal guidance to SunSource’s business team on key legal risks and issues, while also helping the company achieve its business objectives;
  • Working with the General Counsel to develop, improve upon and enforce a centralized process for the review, negotiation, drafting, approval, maintenance and monitoring of all significant company contracts;
  • Other matters as may be assigned to the Contracts Counsel from time to time.

Education and Professional License:

  • Juris Doctorate (JD)
  • JD degree from a “Top 50” law school preferred
  • Top 1/3 of law school graduating class preferred
  • Be in good standing with the Illinois State Bar Association and licensed to practice in-house

Professional Experience and Expertise:

  • 8+ years of transactional law experience, including experience reviewing, drafting and negotiating customer contracts, supplier and vendor agreements, commercial real property leases, IT and software agreements, government bid documents, confidentiality and non-disclosure agreements, financing agreements, and various other documents
  • Preferred to have both in-house and relevant private practice experience
  • Experience with industrial distribution is preferred, but not required
  • Onsite officing is required, a hybrid work arrangement may be considered.
